PIF and Aramco closed the HUMAIN deal on November 1: Aramco takes 49% with about SAR 9.9 billion in cash plus AI assets. What it means for Saudi businesses.

The Public Investment Fund (PIF) and Saudi Aramco announced on November 1, 2026 the closing of a transaction in HUMAIN, the Saudi artificial intelligence company. According to the announcement Aramco published from Dhahran, Aramco acquires 49% of HUMAIN through a wholly owned subsidiary, while PIF retains 51%.

This ends a process that began a year ago. The two sides signed a non-binding term sheet on October 28, 2025, as Unite.AI noted in its November 1 coverage. That term sheet was subject to definitive agreements and regulatory approvals. Aramco's statement now describes the transaction, in its headline, as closed.

The details of the deal

According to Aramco's statement, the company obtains its stake in two ways:

  • Transferring key AI assets to HUMAIN.
  • Contributing approximately SAR 9.9 billion ($2.6 billion) in cash in 2026 to HUMAIN.

The statement says the transaction also involves AI, compute and digital assets alongside the cash, and that both parties are contributing assets, capabilities and talent. Italy's Il Sole 24 Ore confirmed the same figures in its November 1 report: 49% for Aramco, 51% for PIF, and about SAR 9.9 billion in cash.

One important point when reading that number: the statement gives no value for the transferred assets and no overall valuation of HUMAIN. So $2.6 billion should not be treated as the full price of the stake. It is only the disclosed cash portion.

What the two sides said

Yazeed A. Al-Humied, Deputy Governor and Head of MENA Investments at PIF, said that bringing the AI portfolios of PIF and Aramco together under HUMAIN creates a synergy that fuels talent growth, technological advancement and intellectual property creation. He added that the transaction accelerates HUMAIN's growth into a global leader in the sector and expands private sector participation across PIF's portfolio.

Amin H. Nasser, Aramco President & CEO, called the deal very important to Aramco. He said that since 2023 the company has achieved $11.3 billion in what it calls Technology Realized Value, with a significant portion coming from AI solutions. He said the partnership lays the foundation for localizing the AI industry and for faster, more integrated and scalable deployment of AI systems.

What HUMAIN plans to do

HUMAIN launched in May 2025 and, according to the statement, works in four core areas:

  • Next-generation data centers.
  • High-performance infrastructure and cloud platforms.
  • Advanced models, including ALLaM, a multimodal Arabic large language model.
  • AI solutions for different sectors.

The statement describes a plan to deploy 3 gigawatts of AI data center capacity by 2030, with the aim of making HUMAIN one of the leading exporters of AI globally. These are stated goals rather than achieved results, and the statement itself uses the language of planning and expectation.

For its part, Aramco is expected, according to the statement, to use HUMAIN's infrastructure to turn AI capabilities into industrial applications, and the partnership is expected to improve returns on its existing digital assets in a way that complements its core energy business.

Why this news matters

The deal matters because it brings the AI assets of PIF and Aramco onto one platform, and connects infrastructure and models with an energy company that expects to turn these capabilities into industrial applications. Instead of each side building its capabilities separately, assets and talent flow into one company. However, the statement gives no detailed timelines and no new services aimed at businesses, so the practical effect will emerge over time.

What it means for Saudi businesses

The deal changes nothing about how your business runs tomorrow, but it sends a clear signal about direction. Here is what a business owner can take from it:

  • AI is now a national investment priority: when Aramco places it at the heart of its plans, it is no longer a side experiment, and it makes sense to identify now which of your operations are best suited to automation.
  • Value comes from application, not from the model: Aramco's talk of realized value is a reminder that the question is how much you saved or earned. Start with one measurable task.
  • Arabic and local content are in focus: having an Arabic model such as ALLaM at the core of HUMAIN's plan is worth following if your customers deal with you in Arabic.
  • Get your data ready: any smart tool needs organized data. A business that keeps its sales, customers and documents in one system will be better placed to benefit from whatever services come next.
